GENE Complete Site ProTerms of Service

1. Who you are agreeing with
These Terms of Service (the "Terms") form a binding contract between you ("you", "Customer") and Nishihata Engineering Co., Ltd. (有限会社西畑エンジニアリング), operating its web division as One Craft ("we", "us", "One Craft"), the provider of GENE Blocks Studio and operator of gene-wp.com (together, the "Service").
By installing, activating, purchasing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are agreeing on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
2. The Service
The Service consists of:
- The GENE Blocks Studio WordPress plugin (the "Plugin")
- The gene-wp.com website (the "Site")
- Related documentation and support
The free GENE Section Builder plugin distributed via WordPress.org is not covered by these Terms (it is governed by the GPL v2 license and its own readme).
3. License
3.1 What we grant you
Subject to your continued compliance with these Terms and your active subscription, we grant you a non-exclusive, non-transferable, revocable license to install, activate, and use the Plugin on the number of websites permitted by your plan:

3.2 GPL components
The Plugin's PHP code is licensed under GPL v2 or later. The Plugin's CSS, JavaScript, fonts, and images are licensed under their respective licenses (see plugin documentation). Your use of GPL components is governed by the GPL, but your right to receive updates, support, and the right to activate the Plugin via our license servers is conditional on these Terms.
3.3 What you may not do
You may not:
- Resell, sublicense, or distribute the Plugin or your license key
- Use the Plugin to operate a competing product or service
- Reverse-engineer, decompile, or attempt to extract source from the build output beyond what is allowed by the GPL
- Remove copyright notices or attribution
- Use the Service to violate any law or third-party rights
- Attempt to bypass license validation, activation limits, or rate limits
4. Accounts
To purchase, you must create an account with accurate information. You are responsible for keeping your credentials confidential and for all activity on your account. Notify us immediately of any unauthorised use.
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to purchase the Service.
5. Payment and subscriptions
5.1 Plans
Pricing is shown on Pricing. We may change pricing at any time; changes affect new purchases and renewals only — never your current paid period.
5.2 No free trial
We do not offer a free trial. A purchase takes effect immediately and your payment method is charged at the time of purchase. To evaluate the product before buying, use the free edition (GENE Complete Site), which is available at no cost with no time limit.
5.3 Subscriptions
Annual plans renew automatically at the then-current renewal price. You can cancel renewal at any time from your account; cancellation takes effect at the end of the current paid period (no partial refunds for early cancellation — see Refund Policy).
5.4 Taxes
Prices are quoted exclusive of applicable taxes. You are responsible for any sales tax, VAT, GST, or similar taxes that apply in your jurisdiction.
5.5 Payment processing
Payments are processed by Freemius. By purchasing, you also agree to Freemius's terms and privacy policy.
6. Refunds
All sales are final. There is no free trial; instead, the free edition (GENE Complete Site) lets you evaluate the product before buying at no cost. Once a purchase is made, payments are non-refundable, except where required by applicable law. See the full Refund Policy for details.
7. Updates and support
While your subscription is active, you receive plugin updates and email support per your plan. We aim to respond to support requests within 2 business days (Pro and Agency get priority).
We do not guarantee that the Service will be uninterrupted, error-free, or that defects will be corrected on a specific schedule.
8. Your content
The Plugin generates WordPress blocks that become part of your site. Your content is yours. We claim no ownership over content you create using the Plugin.
9. Intellectual property
The Plugin's design system, aesthetics, templates, branding, documentation, and the gene-wp.com website are owned by Nishihata Engineering Co., Ltd. or its licensors, subject to the GPL terms above. Nothing in these Terms grants you rights to our trademarks or branding.
10. Termination
You may cancel at any time from your account. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that harms us, other users, or any third party. We will attempt to give notice when feasible.
After termination:
- You lose access to updates and support
- The Plugin will continue to function until its existing license check fails (typically within a few weeks)
- Your generated content remains intact — it was always native WordPress blocks
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will meet your requirements, operate without interruption, or be free from errors. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions above apply only to the extent permitted by law.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONE CRAFT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
ONE CRAFT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of incidental or consequential damages; in those jurisdictions, the limitations above apply to the maximum extent permitted by law.
13. Indemnity
You agree to indemnify and hold One Craft harmless from any claim, loss, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your misuse of the Service, or (c) your violation of any law or third-party right.
14. Governing law and disputes
These Terms are governed by the laws of Japan, without regard to its conflict of laws principles.
Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Nagoya, Japan.
If you are a consumer resident in the EEA, UK, or other jurisdiction with mandatory consumer-protection law, nothing in this section deprives you of the protection afforded by that law.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced at the top of this page and by email where appropriate. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
16. Miscellaneous
- Entire agreement — these Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service.
- Severability — if any provision is held unenforceable, the rest stays in effect.
- Waiver — failure to enforce a right does not waive that right.
- Assignment — you may not assign these Terms; we may assign them as part of a corporate transaction.
